CRITICAL SAFETY NOTICE & FITNESS TO OPERATE: HVAC systems operate under high voltage and pressure. Improper handling can result in severe injury, death, or property damage. This Service is designed for use by trained professionals. You retain full responsibility for all diagnostic and repair decisions, and must always verify outputs with standard industry practices.

1. Acceptance of Terms & Electronic Record

By accessing or using the ACLogics website and AI-powered diagnostic assistant (collectively, the "Service"), or by checking the acceptance box for this agreement in the ACLogics App, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

Electronic Record: ACLogics keeps an electronic record of the exact document version shown to you, the timestamp of your acceptance, and your account identifier as legally binding evidence of your consent.

BINDING ARBITRATION AND CLASS ACTION WAIVER

PLEASE NOTE THAT THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND A CLASS ACTION WAIVER AS DETAILED IN SECTION 9. THESE PROVISIONS AFFECT HOW DISPUTES BETWEEN YOU AND ACLOGICS ARE RESOLVED.

2. Description of Service & Safety Fitness

ACLogics provides an AI-driven tool designed to assist HVAC technicians in diagnosing system issues. The Service analyzes user inputs and images to suggest possible causes and solutions.

The Service is an assistive tool only. It does not replace professional training, certification, or on-site judgment. You acknowledge that you retain full responsibility for all diagnostic and repair decisions.

Physical and Mental Fitness: You confirm that you are at least 18 years old and physically able to perform your tasks safely. You agree not to use the Service while materially impaired by extreme fatigue, illness, alcohol, drugs, or any medical condition affecting safe performance.

Ongoing Duty to Reassess: You will not use the app while driving, operating machinery, or engaging in any hazardous activities without proper attention. You agree to stop immediately if continuing would create a safety risk.

3. User Accounts

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Strict Privacy Rules & Cloud-Based Nameplate Upload

When using the Service, you may submit detailed diagnostic descriptions and upload images of equipment nameplates or components.

Cloud-Based Nameplate Upload and Image Agent Processing: Previously, equipment nameplate images and diagnostic photos were processed strictly on your local device. Under these Terms, any images of HVAC equipment nameplates, labels, or units that you capture or upload through the Service are transmitted to our secure cloud servers and processed by external AI image-processing agents (vision models) to perform automated model matching, text/serial number extraction, and technical specification lookups. By uploading nameplate images, you explicitly consent to the transmission and remote processing of these images. We retain these uploaded images on our secure servers for a period of ninety (90) days to allow you to review and verify the diagnostic records. You have the right to manually delete these images at any time prior to the 90-day limit. Please note that deleting your account does not automatically or immediately delete these image files; they will remain stored and automatically expire at the end of their original 90-day retention period unless you submit a written request via email for manual expedited deletion. We do not sell or disclose your image data to third parties for marketing or other unauthorized purposes.

Prohibited Content & Data Minimization: You agree not to record or upload images containing children under 18 years of age, medical situations, intimate settings, passwords, payment cards, government identifiers, or other highly sensitive personal content. You must ensure all uploaded site photos are closely framed on HVAC equipment and exclude homeowner faces or private living areas.

5. Prohibited Conduct & Confidentiality

You agree to keep confidential all non-public information made available to you through the platform, including task instructions, sample data, and internal system logic. You are strictly prohibited from attempting to reverse engineer, decompile, or disassemble any aspect of the Service or its underlying AI models.

Additionally, you agree not to engage in any of the following prohibited activities:

  • Scraping: Using any robot, spider, scraper, or other automated means to access the Service for any purpose without our express written permission.
  • System Abuse: Interfering with or disrupting the integrity or performance of the Service, including overwhelming the system with excessive requests.
  • Illegal Content: Using the Service to generate or disseminate fraudulent, defamatory, or illegal content.

6. Intellectual Property & Waiver of Moral Rights

The Service, its original content (excluding User Content), features, functionality, underlying AI models, and all reports, summaries, diagnostic plans, and other outputs generated by the Service (collectively, "Service Output") are and will remain the exclusive property of ACLogics and its licensors.

Service Output License: We retain all ownership, copyright, and intellectual property rights in the Service Output. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access, use, download, and share the Service Output (such as generated HVAC diagnostic reports) solely for your professional or personal service operations.

User Content Ownership: You retain all ownership rights and copyright in any text, images, or other data ("User Content") you submit to the Service. We do not claim ownership over your User Content.

License for AI Training and Platform Operation: To enable us to run the platform and improve our technology, you grant ACLogics a non-exclusive, worldwide, perpetual, irrevocable, and royalty-free license to use, reproduce, modify, adapt, and display such User Content solely for the purposes of operating the Service, diagnosing HVAC issues, and training or improving our AI models and algorithms.

Waiver of Moral Rights: To the fullest extent permitted by law, you hereby unconditionally waive any moral rights, including rights of paternity, integrity, or withdrawal, that you may have in your submitted photos or notes, and you consent to any action by ACLogics that would otherwise violate such moral rights.

7. Disclaimer of Warranties & Waiver of Unknown Claims

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

ACLOGICS MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF THE DIAGNOSTICS OR INFORMATION PROVIDED BY THE AI. THE AI CAN HALLUCINATE OR PRODUCE INCORRECT INFORMATION. ALWAYS VERIFY OUTPUTS WITH STANDARD INDUSTRY PRACTICES.

Waiver of Unknown Claims: By accessing the platform, you understand that you may be waiving rights with respect to claims that are unknown or unsuspected at this time. You expressly waive the benefits of Section 1542 of the Civil Code of California, and similar laws, which provides that a general release does not extend to claims the creditor does not know or suspect to exist at the time of executing the release.

8. Limitation of Liability & Indemnification

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ACLOGICS' TOTAL LIABILITY TO YOU EXCEED THE AMOUNT PAID BY YOU FOR ACCESSING THE SERVICE DURING THE TWELVE MONTHS PRECEDING THE CLAIM.

Indemnification: You agree to fully indemnify, defend, and hold harmless ACLogics and its affiliates against all claims, damages, liabilities, and expenses, including attorneys' fees, arising directly or indirectly from your misconduct, safety violations, reliance on AI outputs, unlawful recording, or infringement of a third party's privacy rights.

9. Dispute Resolution, Batch Arbitration, and Opt-Out

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach thereof shall be settled by binding arbitration in Texas, USA.

Batch Arbitration: If fifty (50) or more individual requests for arbitration of a similar nature are filed against ACLogics, the arbitrator will administer these claims collectively in a single, consolidated batch arbitration to ensure efficiency.

30-Day Opt-Out: You have the right to opt out of this Arbitration Agreement by sending written notice to ACLogics within 30 days after first becoming subject to this provision.

10. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of any significant changes by posting the new Terms on this page. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
